REPORTING RELATIONSHIP
Reports to the Chief Financial Officer
BASIC FUNCTION
The Chief Accounting Officer will be responsible for leading all finance and accounting activities for the Company, including Corporate Accounting and Financial Reporting (SEC, other external, and internal management reporting), and providing Management and the Board of Directors with assurance as to the adequacy and effectiveness of the accounting and finance functions. The position is critical to ensuring that the Company's accounting and reporting practices are in conformity with Generally Accepted Accounting Principles and SEC reporting standards. Candidates should have a good knowledge of GAAP, and be able to stay apprised of new pronouncements to lead the Company through any required changes resulting from new SEC rules or GAAP pronouncements. The ideal candidate should have excellent communication skills with all levels of the Company and strive for continuous improvement in all processes and deliverables covered by this position. Candidates should also be able to work well in a team environment, while leading staff.
Essential Job Duties
• Overseeing all aspects of the corporate accounting, financial reporting, and tax functions
• Research SEC/GAAP accounting issues and technically complex transactions, assess impact on the accounting and financial reporting process
• Assist in the preparation/review of technical accounting memos and provide technical accounting guidance to others in the Company
• Assist Accounting in detailed review/analysis of general ledger accounts, review of account reconciliations, and monitoring of the financial closing calendar and checklist to ensure financial reporting properly reflects operating results, accruals and adjustments
• Ensure appropriate resources and staffing is available for accounting department and supervise staff indirectly through management and supervisory personnel
• Coordination with other departments (Accounting, Legal, Financial Planning, Tax, etc.) for purposes of identifying accounting implications or required disclosures
• Enhance and maintain the Company's documentation of its policies and procedures related to Sarbanes-Oxley, specifically those related to financial reporting and the external audit process, and related SEC and exchange rules and regulations.
• Maintain appropriate internal controls and safeguards, and provide training to functional departments on internal control activities to ensure a strong internal control environment
• Oversee the preparation, review and filing of the annual report, annual meeting materials and all quarterly, annual and other required SEC Filings (10-Q, 10-K, 8-K, etc.) on a timely basis
• Review interim financial statements, analysis and supporting workpapers for reporting to senior management, Board of Directors, banks and shareholders
• Assist Financial Reporting, as necessary, with the preparation of the financial statements, including required disclosures and supporting workpapers
• Coordination of all non-tax related Government statutory and other special reports
• Lead the relationship between the Company and external audit firm, and direct all activities associated with the annual audit and quarterly reviews
• Involvement in strategic initiatives of the Company involving accounting matters
• Driving process change to drive efficiencies in overall accounting, finance and business processes
• Presenting to the audit committee and Board of Directors
• Structure and implement activities to optimize tax position and accounting policies
• Assists the CFO with planning and evaluation of the fiscal functions and performance of the company, and timely and accurate analysis of budgets, financial reports and financial trends
• Provide timely and accurate information to other members of the Company to resolve reporting-related or investor/analyst queries, or provide information for earnings press releases
• Meeting with key and potential investors as necessary on accounting matters.
Manage tax function and oversee tax compliance
• Position will oversee Corporate Controller, Director of Financial Reporting and Global Tax Manager
• Work effectively with various stakeholders both internal and external to the Company, including the CFO and Finance function, Corporate Accounting, Planning and Commercial, Operations, Human Resources and external auditors on a regular basis
• Assisting or leading other special projects or assignn1ents, as determined necessary by senior management and/or the Audit Committee, including process improvement reviews, review of accounting policy, review of compliance with policies, post acquisition evaluation, communication of best practices, and projects specifically requested by management
QUALIFICATIONS
• 15-20 years of combined relevant experience, including public accounting (Big 4 or national public accounting firm) and a leadership role in corporate accounting, financial reporting, technical accounting, SOX and financial analysis
• Prior accounting management experience is required
• Oil & gas accounting experience required with international highly preferred
• Strong experience in the oversight of internal and external audit function
• Has the potential for further professional/career progression into Chief Financial Officer Role
Other Required Skills
• Strong accounting background and technical understanding of GAAP, FASB, GAAS, COSO internal control framework, SEC reporting standards and requirements, and knowledge of IFRS
• Sound knowledge of the requirements of Sarbanes-Oxley and Financial Reporting
• Strong analytical problem-solving skills with attention to detail
• Ability to multi task and prioritize
• Demonstrated ability to lead and develop staff members
• Proficiency in Excel, Word and PowerPoint required
• Highly motivated, capable of independent direction and judgment
• Organized approach to performing and reviewing work with strong attention to detail and ability to meet critical deadlines and manage multiple projects
• Effective written and verbal communication skills
• Ability to work well and communicate effectively with individuals at all levels of the Company, from staff level to senior management and the Board of Directors, and manage relationships with external parties.
• Must have an interpersonal style that is collaborative and open.

Education
• Bachelor's degree in Accounting, MBA is a plus
• CPA designation is required
